this agreement is made and entered into by and between assignor (hereinafter a), ceo of co. , ltd
and assignee (hereinafter b), customs broker of customs brokers office(customs service corporation) with respect to customs clearance work (hereinafter the work) and so on, as follows. article (purpose)
the purpose of this agreement is to clearly define the obligations of a and b to enable both parties to faithfully undertake respective roles, thereby to successfully complete the work which is assigned to b by a.
article 2 (the term of a contract)
this agreement is valid from date/month/year to date/month/year.however, this agreement shall automatically renew unless otherwise notified by either party.
article 3 (obligation of “a”)
① shall provide accurate clearance documents and relevant data necessary for b to conduct the assigned work.
② shall respond faithfully to any inquiries or request for additional data necessary for b to perform the assigned work.
③ shall indemnify and hold b harmless against any claim or cause of action that may arise in connection with violation of relevant law due to provision of false clearance document or information.
article 4 (obligation of “b”)
① shall fulfil the assigned work based on the principle of good faith.
② in the event that b causes damage to a due to intentional or grave error in undertaking the work,b shall compensate for the damage.however, this shall not apply to damages caused by the failure of a to fulfill the obligation of paragraph 1 of article 3.
③ shall perform its responsibility as a good manager with respect to the assigned work.
article 5 (remuneration)
the remuneration shall be charged in details and the scope of claim and remuneration shall be as follows.
