incorporation of new entity and joint venture agreement
the incorporation of new entity and joint venture agreement(hereinafter referred to as “new entity”) is executed on august 00, 2 between oo co. , ltd
registered with address at (address) (hereinafter referred to as “party a”) and x co. , ltd
with address at (address)(hereinafter referred to as ”party b”). both parties to this agreement shall positively cooperate for the successful business of the new entity incorporated pursuant to this agreement, based on the assets, business and experiences of each party according to provisions herein
now therefore, based on mutual commitment and covenants, both parties hereby enter into the following agreement. article 1(purpose)
the purpose of this agreement is to determine the mutual rights and obligations of ”party a” and “party b” with regard to determination on incorporation, process, and distribution of the shares and profits of the new entity in korea for “new business” using assets and business held by ”party a” and “party b” respectively.
article 2(definition)
the terms used in this agreement shall have the following meaning, unless the text requires otherwise.
1.definition of new entity
the new entity herein means the legal person (joint stock company) incorporated in seoul, korea, by the name of “yyyyy co. , ltd
”, for the purpose of operating joint business between “party a” and “party b”.
2.business of new entity
business of the new entity (hereinafter referred to as “new business”) means the business currently operated by “party b”’ or any license therefor has been vested to “party b”, and comprises the following;
