exclusive agency agreement     

this exclusive agency agreement is made between samsung food machine co. (seller) and ( )(buyer)

buyer shall have an exclusive right to sell sellers products in the territory which both parties agreed. buyer shall also have the accompanying duties

this agreement shall be effective upon the signing of both parties.   
1) sales territory: ( )
seller shall provide buyer with all inquires obtained from the sales territory.
  
2) contract period: contract period shall be one year.if the minimum quantity of order per year is satisfactory, the contract period shall be extended by one year in principle.
3) minimum quantity of order: agreed to order at least ( )units per year.
or more than (us $ )per year.
4) downpayment: agreed 10% for down payment.buyer shall pay 10% of the total cost of ( )units or total amount when the contract is made and the seller shall always keep stock of products worth more than the downpayment.this downpayment shall be substituted when the last order payment is made.

the prices of machines of samsung food machine co.are as follows.

prices are quoted in fob and us dollars.
the price shall be changed if the prices of raw materials, etc., increase.
but any price increase shall be agreed upon by both parties.
6) terms of payment
the amount of 50% of the order shall be paid in advance and the rest shall be paid before shipment by t/t
7) arbitration
all disputesarising from the performance of this agreement shall
be settled by negotiation.if the disputes are not settled by negotiation,
they shall be settled by arbitration in seoul, korea, in accordance with
the commercial arbitration rules of the korean commercial arbitration board and under the law of korea.the language for the arbitrationshall be in english.
