This Agreement on Confidentia
lity (“Agreement”) is made and entered into on this May _____, 2022by and between:

[COMPANY NAME], a corporation
duly organized and existing under the laws of [COUNTRY] and having its principal office at [ADDRESS] (hereinafter referred to as “Affiliate”)
Each “a Party” and together “
the Parties”.
Company and Affiliate agree t
hat Affiliate in relation to Company shall be bound to any and all obligations arising from the enclosed Confidentiality Agreement to the same extend as Company in regard to any confidential information it may receive under the purpose of enclosed Confidentiality Agreement.
Any amendment to this Agreeme
nt shall be made in writing and signed by both Parties hereto.
This Agreement constitutes th
e complete agreement between the Parties with respect to the subject matter hereto and supersedes any previous oral or written agreement or understanding pertaining to such matters.
If any one or more of the pro
visions of this agreement is determined by any court to be void, illegal or enforceable, such provision will be served from the Agreement and the remaining provisions hereto will remain in full force and effect.
No effect on other provisions
even though one of provision loses effect. In this case, both Parties agree to make effort on replacing provision which loses effect with similar provision within appropriate time financially and economically.
No relaxation, forbearance, d
elay or indulgence by either Party in enforcing any of the terms and conditions in this Agreement shall prejudice affect or restrict the rights and powers of either Party hereunder nor shall any waiver by either Party of any breach operate as a waiver of any subsequent or any continuing breach hereof.
IN WITNESS WHEREOF, the Parti
es hereto have caused this Agreement to be executed in duplicate by their duly authorized representatives and each party shall retain one copy.
