words and expressions used in the facility agreement shall have the same meaning when used in this letter.
we hereby confirm that we shall supply to the lender our consolidated audited financial statements for each of our financial years on an annual basis as soon as they are available and in any event within 180 days from the end of the relevant financial year.we confirm that the consolidated audited financial statements for [name of the sponsor] reflect the financial position for [name of the sponsor].
we confirm that each set of our financial statements supplied pursuant to this side letter shall present the consolidated financial condition of [name of the sponsor] as at the date to which those financial statements were drawn up.
as consideration for our agreement to provide our financial statements to you, you have agreed that you will ensure that your employees, officers or directors shall keep entirely confidential and secret and will not disclose, describe, distribute or otherwise communicate to any person or persons other than [name of the sponsor], any information whatsoever regarding the provision or content of such financial statements without our express written consent.
