this agreement is made and entered into, by and between daejin battery co., ltd, having its registered address at 306 gongdan-dong, gumi-city, kyungbuk, korea(hereunder referred as daejin) and inka gmbh, having its registered address at
(hereunder referred as inka) with the following terms and conditions.
witnesseth:
whereas, daejin desires to appoint inka as its agent for its products (as defined hereinafter) in russian federation, and whereas inka desires to be the agent of daejin in territory, the both parties now therefore, have agreed as follows:
article 1.definitions
in this agreement except where the context otherwise requires, the following terms and conditions shall be understood to have precise meaning as follows:
products shall mean newmax sla(sealed lead acid) rechargeable batteries in different size and capacity.
territory shall mean russian federation, and additional territory also can be added in accordance with the approval of daejin by the request of inka.
article 2.appointment and acceptance
during the term and subject to the conditions hereinafter set forth, daejin hereby appoints inka as the exclusive agency for the products in the territory, and inka accepts such appointment.inka shall engage in the sales of the products for its own account and risk in accordance with this agreement and shall use its best efforts to promote the products in the territory.
article 3.order and shipment
in placing orders with daejin, inka shall clearly describe the products and quantity required.
article 4.payment
4.1 within 5(five) working days after receipt of daejins confirmation of order, inka shall effect telegraphic money transfer, 50% of invoice value at the time of order placement and the balance 50%, 5(five) working days before shipment.
4.2 unless otherwise agreed between the parties, currency of payment shall be usd. (이하 생략)
