this agreement, made and entered into , 2009 by and between korea
(hereafter to be referred as seller) and (hereafter to be referred as buyer), agreeing on the following terms and conditions.
article 1  
subject of the agreement.
the seller sells and the buyer buys the in accordance with the buyers orders.
article 2  
terms of payment.
the down payment 30% of the cost of the shipped goods per invoice, is to be made

days from sellers acceptance date (proforma invoice date) by bank transfer. unless otherwise agreed between the parties, currency of payment shall be in usd

the rests is to be made by letter of credit at sight.
prices, quantity and specification of the goods are to be fixed in the invoices and specifications that are the true part of present agreement.
the buyer shall, within days after the execution of this agreement, establish in favor of the seller an irrevocable letter of credit (l/c) payable at sight issued by (banks name), by telex, in the amount of usd , the contents of which shall be in conformity with the terms of this agreement.
the letter of credit shall not expire until (60) days after the last day of the time of shipment specified in this contract.
the statement this credit is subject to uniform customs and practice for documentary credits, 2007 revision, international chamber of commerce publication no.600 shall be contained in the letter of credit.
article 3  
terms of shipment.
the seller must deliver the goods within eighty (80) days after receiving of l/c based on 30% down payment of the usd of total amount.
article 4  
price and total value.
the total amount of the agreement is usd on the terms fob, any korean port basis.
prices, quantity and specification of the goods are to be fixed in the invoices and specifications that are the true part of present agreement.
article 5  warranty  
the seller shall warrant that all goods delivered by the seller in quality, specification and packaging shall conform to the contract stipulations.
the warranty period shall remain in effect until the expiration of (6 ) months after the date of the completion of unloading of the goods at the port of unloading, latest however ( 12) months after the delivery date; with the exception of expendables and accessories.
the seller warrants that the contract products shall be free from defects in material and workmanship.this warranty does not extend to any of the said contract products which have been: (a) subjected to misuse, neglect, accident or abuse, (b) improperly repaired, or altered or modified in any way, and (c) used in violation of instructions furnished by seller.
article 6  inspection  
the buyer inspected the goods in sellers factory before shipping the goods and approved on its appropriate quality, specification, quantity, weight, packing in accordance with the stipulations of this agreement.   (이하 생략)
